1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Sherpa platform and the website operated by Icecap AI ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use Sherpa.

2. Description of Service

Sherpa is an AI-powered sales and communications platform that integrates with your website to engage visitors, recommend products, handle enquiries, and capture market intelligence. We provide the platform on a subscription basis as described on our pricing page.

3. Account Registration

To use Sherpa, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

4. Subscriptions and Payment

  • Billing: subscriptions are billed monthly or annually in advance, depending on the plan you choose.
  • Free trial: new Basic Sherpa accounts receive a 14-day free trial with full access.
  • Price changes: we may adjust pricing with at least 30 days' notice. Existing subscriptions will honour the current price until the next renewal.
  • Refunds: subscription fees are non-refundable. New Basic Sherpa accounts may evaluate the service during the 14-day free trial before committing to a paid plan.

5. Cancellation

You may cancel your subscription at any time from your account dashboard. Upon cancellation:

  • Your access continues until the end of your current billing period.
  • No further charges will be applied.
  • Your data will be retained for 90 days after cancellation, after which it will be permanently deleted.

6. Acceptable Use

You agree not to use Sherpa to:

  • Violate any applicable law or regulation
  • Transmit harmful, threatening, abusive, or misleading content
  • Distribute malware, spam, or unsolicited communications
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the service to engage in fraudulent or deceptive business practices
  • Resell or redistribute the service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

The Sherpa platform, including its software, design, branding, and documentation, is the property of Icecap AI and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use Sherpa for your business purposes.

You retain ownership of all content, data, and materials you provide to or generate through Sherpa. By using the platform, you grant us a limited licence to process this data solely to deliver and improve the service.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using Sherpa, you acknowledge that you have read and understood our Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, Icecap AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total cumulative liability for any claims arising from these Terms or the service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Icecap AI, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of Sherpa after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Icecap AI is registered, without regard to conflict of law provisions.
